Section8.4

Cancellation by the Lender

The Available Facility shall be immediately cancelled upon delivery of a notice to the Borrower which shall be immediately effective, if:
a)
the Available Facility is not equal to zero on the Deadline for Drawdown of Funds;
b)
the first Drawdown has not occurred on the Deadline for the First Drawdown;
c)
an Event of Default has occurred and is continuing; or
d)
an event referred to in
Clause 8.2
 (Mandatory prepayment) has occurred.
except where, in the case of paragraphs (a) and (b) of this
Clause 8.4
 (Cancellation by the Lender), the Lender has proposed to postpone the Deadline for Drawdown or the deadline for the first Drawdown on the basis of new financial conditions which will apply to any Drawdowns under the Available Credit and the Borrower has agreed on the proposition.
