Calculations made by KfW. Absent manifest errors, the values calculated by KfW

and calculations performed by KfW of amounts due in connection with this Loan

Agreement constitute prima-facie evidence (Anscheinsbeweis).

7. Guarantee from the Federal Republic of Germany

KfW will have payment claims under this Agreement guaranteed by the Federal

Republic of Germany prior to the first disbursement.

8. Illegality

If, in any applicable jurisdiction, it becomes unlawful for KfW to perform any of its

obligations as contemplated by this Agreement or to fund or maintain the Loan,

upon KfW notifying the Borrower

the commitment of KfW will be immediately cancelled, and

the Borrower shall repay the Loan in full on the last day of the Interest

Period in which KfW has notified the Borrower or, if earlier, the date

specified by KfW in the notice delivered to the Borrower (being no earlier

than the last day of any applicable grace period permitted by law).

For the avoidance of doubt, any cancellation hereunder will be subject to

(Non-Utilisation Fee) and any repayment of the Loan hereunder constitutes a prepayment and will be subject to the provisions set out in

c) (Prepayment Fee) and d) (Amounts due).
