Management Fee. The Borrower will pay KfW a non-refundable one-time lump-

sum management fee of 0,25 % of the Loan amount stated in

(Amount) hereof ("Management Fee").

The Management Fee is payable on the earliest of the following two dates: (i)

before the disbursement or (ii) after six months have elapsed since the signing of

this Agreement by KfW or after one month has elapsed since the entry into force

and effect of this Agreement (whichever of the dates stated under (ii) occurs

later). The Management Fee is due for payment as soon as this Agreement has

been signed irrespective of whether the Loan is disbursed in full or only in part or

not at all.
