Subject to the prior approval of the Finance Parties and the ECA, the Borrower may, upon forty-five (45) Business Days' prior notice to the Facility and ECA Agent (or such shorter period as the Majority Lenders may agree, but, in any case, not less than ten (10) Business Days), cancel the whole or any part (being a minimum amount of EUR 10,000,000) of the Available Commitment.
7.2 Voluntary prepayment
The Borrower may, upon forty-five (45) Business Days' prior notice to the Facility and ECA Agent (or such shorter period as the Majority Lenders may agree, but, in any case, not less than ten (10) Business Days), prepay the whole or any part of the Loans (but, if in part, being a minimum amount of EUR 10,000,000) subject to the satisfaction of the following conditions :
a)
the prepayment date is not within the Availability Period; and
b)
if the prepayment is made on a date which is not an Interest Payment Date, the Borrower shall pay simultaneously with such prepayment any Break Costs which may be due in accordance with
the Borrower may, whilst the circumstance giving rise to the requirement for that increase or indemnification continues, give the Facility and ECA Agent notice (if such circumstances relate to a Lender) of cancellation of the commitment of that Lender in the Total Commitments and its intention to procure the repayment of that Lender's participation in the Utilisations.
b)
On the last day of each Interest Period which ends after the Borrower has given notice under paragraph (a) in relation to a Lender (or, if earlier, the date specified by the Borrower in that notice), the Borrower shall repay that Lender's participation in that Utilisation together with all interest and other amounts accrued under the Finance Documents and the Lenders’ corresponding commitment in the Total Commitments shall be immediately cancelled in the amount of the participation repaid.
